Terms of Service

These Terms of Service ("Terms") form a binding agreement between AllInNation, LLC ("AllInNation," "we," "us," or "our") and the customer ("Customer," "you," or "your") who creates an account on or otherwise uses the ALL IN Tools platform at app.allintools.com, the marketing site at allintools.com, and any related subdomains, modules, or per-tenant offer landing pages (collectively, the "Service").
By creating an account, clicking "I accept," using the Service, or joining our list, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
1. Acceptance and Eligibility
You must be at least 18 years old and able to enter into a binding contract. The Service is intended for business use. By accepting these Terms you confirm that the information you provide is accurate and that you will keep it current.
If we materially change these Terms, we will notify you (in-product banner, email, or both) and require re-acceptance before continued use.
2. Your Account
You are responsible for the accuracy of your account information; maintaining the confidentiality of credentials, including any 2FA recovery codes; all activity under your account, including activity by users you invite to your tenant; and assigning appropriate roles to users you invite.
We may suspend or terminate accounts that we reasonably believe have been compromised, are being used in violation of these Terms, or pose a security risk to the platform or to other tenants.
3. Subscription and Billing
The Service is offered on a paid subscription basis. Plans, prices, and feature inclusions are presented during checkout and in your billing settings.
- Subscription fees are billed in advance for each billing cycle (typically monthly or annually).
- Payment processors. We use reputable PCI-compliant processors. By providing payment information you authorize us and the applicable processor to charge your payment method for the amounts due.
- Taxes. Fees are exclusive of taxes; you are responsible for all applicable sales, use, VAT, GST, and similar taxes other than taxes on our net income.
- Refunds. Subscription fees are non-refundable except where required by applicable law.
We may change pricing on at least 30 days' notice; price changes take effect at the start of your next billing cycle after the notice period.
4. Acceptable Use
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. It prohibits, without limitation: spam and unlawful messaging, harassment, fraud, scraping, reverse-engineering, reselling the Service without written permission, and using the Service to compete with us by building a substantially similar product.
5. Your Content and Data
5.1 Ownership. You retain all rights to the data, files, contacts, and content you or your users submit to the Service ("Customer Content"). We claim no ownership over Customer Content.
5.2 License to operate the Service. You grant us a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Content solely as needed to provide, secure, back up, and improve the Service (in aggregated, de-identified form).
5.3 Multi-tenant isolation. ALL IN Tools is multi-tenant. Each tenant's data is logically isolated by tenant identifier. We do not commingle Customer Content across tenants and do not use one tenant's data to train AI models on behalf of another.
5.4 Retention after cancellation. Customer Content is retained for 90 days after cancellation, then hard-deleted, except where retention is required by law or by an active legal hold.
6. AI Features
Several modules include AI assistants powered by third-party providers. When you use an AI feature, the relevant prompt and any context the assistant needs are transmitted to the provider; providers contractually commit not to train their general models on API customer data; you can disable AI features at any time; and the assistant is informational only — outputs may be inaccurate or incomplete and you are responsible for verifying any output before relying on it.
7. Communications: SMS and Voice
Modules that send SMS or place/receive calls sit on top of third-party telecom infrastructure. You are solely responsible for the lawful conduct of campaigns you send through the Service, including A2P 10DLC registration, express written consent (TCPA and state analogues), honoring STOP/HELP keywords, call-recording consent, and providing accurate sender identity. We provide the infrastructure and surface controls; we are not the sender or caller of record.
8. Intellectual Property
The Service, the platform, modules, design system, brand, source code, and documentation are owned by AllInNation or our licensors and are protected by copyright, trademark, and other laws. Except for the limited license to use the Service granted in these Terms, no rights are transferred to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any AI output will be accurate.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless AllInNation and its officers, directors, employees, and agents from any claim arising out of your Customer Content, your or your users' violation of these Terms or applicable law, or your infringement of any third party's rights through your use of the Service.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by in-product banner or email at least 14 days before they take effect, and you may be required to re-accept before continued use.
